payment & service terms

Each client will receive a unique contract unless arrange otherwise. See below terms valid to all accounts. 

Double Tap Agency obligations. We will:

  • provide the Services in a professional and timely manner in accordance with this Agreement;

  • consult with, and comply with all reasonable directions of, Client relating to the provision of the Services from time to time;

  • comply with all relevant Law, Policies and Terms of Service

  • notify Client as soon as possible if you are or expect to be unable to continue to provide the Services in accordance with this Agreement.

Your obligations (client). You must:

  • provide the Services, collateral, content and branding packages in a professional and timely manner in accordance with this Agreement;

  • consult with, and comply with all reasonable directions of, Double Tap Agency relating to the provision of the Services from time to time;

  • comply with all relevant Law, Policies and Terms of Service

  • notify Double Tap Agency as soon as possible if you are or expect to be unable to continue to continue with the contract in accordance with this Agreement.

  • Payment within 7 days of invoice. Failure to do so work will cease until payment is made and a fee of 2% per day will be charged.

Confidentiality. Each party (Recipient/Client) undertakes to keep the Confidential Information of the other secret, and to protect and preserve the confidential nature of that Confidential Information. These obligations continue indefinitely beyond the end of this Agreement but do not extend to disclosures:

required by law; and to a recipient’s/Client Representatives:

  • ho have a need to know for the purposes of this Agreement (but only to the extent that each has a need to know); and

  • before disclosure, have been directed by the recipient to keep that Confidential Information confidential.

Security and Ownership. All Social Media Accounts, Social Media Materials, Website content, imagery, Security Details and all other IP shall be the property of Client.

Termination by Double Tap Agency or Client either party may terminate this Agreement:

  1. by giving 30 business days’ notice in writing to the Agency or Group without cause; or

  2. immediately by giving notice in writing to the Agency or Group if:

  • the Agency or Group commits a breach of this Agreement that is incapable of remedy;

  • the Agency or Group commits a breach of this Agreement that is capable of remedy and does not

  • rectify that breach within 7 business days of either party issuing a notice of the breach to the Agency or Group;

  • the Agency or Group regularly or habitually commits breaches of the same provision of this Agreement;

  • the Agency or Group is insolvent;

Consequences of termination. Upon termination of this Agreement:

  • the Agency or Group ceases to be entitled to provide the contractual agreement between both parties;

  • the Agency or Group will return in a secure manner or destroy, at Clients option, all

  • Social Media Accounts, Social Media Materials, Website content, imagery, Security Details and all other IPin its or its Representatives’ possession, custody or control;

  • Double Tap Agency reserves the right to take action to recover any loss incurred by Client as a result of the termination, or the breach of this Agreement that led to the termination.
